Paid Services Terms and Conditions

These Paid Services Terms and Conditions apply to all paid services provided through cleverpaths.com (the "Services").

CleverPATHS is a trading name of Intelligent Monitors Pty Ltd (ABN: 69 697 100 235) ("we", "us", "our").

By purchasing, accessing, or using any paid Services, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree, you must not use the Services.

Nature of Services

The Services may include subscription-based access to insights, tools, and resources designed to support parents and guardians in their child's education journey, as well as other digital offerings.

All Services are provided on an informational and best effort basis only. They do not constitute professional, educational, legal, financial, or other advice.

You acknowledge and agree that:

• any outputs, documents, or materials may be incomplete, inaccurate, or subject to change
• no reliance should be placed on the Services without independent verification
• you are solely responsible for assessing suitability for your child's specific circumstances

Accounts and Eligibility

You must ensure that:

• all information provided is accurate and kept up to date
• you have the legal capacity and authority to enter into these terms
• you comply with all applicable laws

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

Subscription Services

Where Services are provided on a subscription basis:

• subscriptions may include trial periods at our discretion
• subscriptions automatically renew at the end of each billing cycle unless cancelled prior to renewal
• continued access is conditional on successful payment

We reserve the right to modify subscription pricing, inclusions, or features at any time, with such changes taking effect from the next billing cycle.

Payments and Billing

All payments are processed through third-party payment providers (including Stripe).

We:

• do not store payment card details
• do not control third-party payment systems
• are not responsible for payment processing errors, delays, or failures caused by third-party providers

You agree to comply with the terms and conditions of the relevant payment provider.

Cancellation and Refunds

Subscriptions:

• may be cancelled at any time via the payment provider portal
• remain active until the end of the current billing period
• are not eligible for partial refunds

To the maximum extent permitted by law, all fees are non-refundable.

Changes to Services

We reserve the right at any time to:

• modify, suspend, or discontinue any part of the Services
• update pricing, features, or availability

We are not liable for any loss arising from such changes.

Best Effort Provision

All Services are provided on a best effort basis.

We do not guarantee:

• accuracy, completeness, or reliability of outputs
• achievement of any specific results or outcomes for your child's education
• continuous, uninterrupted, or error-free operation

You acknowledge that results may vary and may depend on factors outside our control.

User Data and Responsibility

Where you provide data, materials, or access:

• you warrant that you have full authority to provide such data
• you remain responsible for its accuracy, legality, and security

We are not liable for:

• errors arising from inaccurate, incomplete, or misleading data
• loss or damage resulting from the use of your data

Limitation of Liability

To the maximum extent permitted by law, Intelligent Monitors Pty Ltd (including its officers, employees, contractors, and agents) excludes all liability for any loss or damage arising from or in connection with the Services.

This includes, without limitation:

• direct, indirect, incidental, special, or consequential loss
• loss of profits, revenue, business, or opportunity
• loss, corruption, or unavailability of data
• reliance on any outputs, documents, or content
• delays, interruptions, or service unavailability

You acknowledge and agree that:

• use of the Services is entirely at your own risk
• you assume full responsibility for any outcomes or consequences

Where liability cannot be excluded, it is limited, at our option, to:

• the resupply of the relevant Services; or
• the cost of resupplying those Services

The Services may rely on third-party providers including payment platforms, hosting services, or integrations.

We:

• do not control third-party services
• do not guarantee their availability, performance, or security
• are not liable for any loss arising from third-party services

Intellectual Property

All materials, documents, and content provided through the Services remain the property of Intelligent Monitors Pty Ltd unless otherwise stated.

You are granted a limited, non-exclusive, non-transferable licence to use the materials for personal or household purposes only.

Dispute Resolution

Any dispute arising out of or in connection with these terms shall be resolved by binding arbitration administered by the Australian Centre for International Commercial Arbitration (ACICA) in Sydney, New South Wales, Australia.

Governing Law

These terms are governed by the laws of New South Wales, Australia.
